Services Agreement

This Services Agreement is between the Subscribed Company (and any of its subsidiaries, affiliates, or other corporations controlled directly or indirectly by the Subscribed Company, the “Company”) and EXPERT EFFECT (and any of its independent contractors, subsidiaries, affiliates, or other corporations controlled directly or indirectly by EXPERT EFFECT, the “Contractor”).

Agreements

The Contractor and Company agree to the following:

1. HR TOTAL COMPLY SERVICES

a. A designated HR Expert will ensure initial and ongoing HR compliance for employee onboarding/offboarding, wage & hour, government notices, and employee handbook.
b. Any requested project-based work will be billed at an additional fee under the Hourly On Demand Service Delivery Model.
c. Any requested project-based work that is not HR compliance related will be billed at an additional fee under the Hourly On Demand Service Delivery Model of the Contractor.
d. Companies of over 25 staff are not eligible for the HR Total Comply Subscription. The Company must email info@ExpertEffect.com if headcount exceeds 25 staff to explore converting to a different Service Delivery Model of the Contractor.

2. SUBSCRIPTION FEE

a. Company agrees to pay Contractor a recurring monthly subscription fee (the “Subscription Fee”) and authorizes Contractor to charge the credit card provided on file.
b. If Company is not satisfied with its designated HR Expert, feedback may be requested via info@ExpertEffect.com.
c. If unsatisfied after 30 days, Company may request assignment of a different HR Expert.
d. Continued dissatisfaction allows Company to cancel the subscription with written notice on or before the 15th of the current month; subscription will terminate at month-end. Notices after the 15th will apply to the following month’s subscription.
e. Company must maintain a valid credit card on file. Services may be suspended if payment fails.

3. INDEPENDENT CONTRACTOR STATUS

a. Relationship is strictly independent contractor. No joint venture, partnership, or employer-employee relationship is created.
b. Contractor may engage in other independent contracting activities.
c. Contractor controls the means, details, and methods of services performed.
d. Contractor must maintain insurance coverage for themselves, including:

  • Commercial General Liability Coverage Policy ($2M General Aggregate, $1M Personal & Advertising Injury, $1M Each Claim, $1M Damage to Premises Rented, $5K Medical Expense Limit, $100K Abuse and Molestation Each Claim / $300K Aggregate)

  • Errors & Omissions Insurance Policy ($1M Each Claim / $1M Aggregate)
    e. Company is not responsible for Contractor taxes, worker’s compensation, unemployment insurance, or withholding.

4. CONFIDENTIAL INFORMATION

Contractor will protect all confidential information provided by Company and use it solely to fulfill obligations under this agreement.

5. INTELLECTUAL PROPERTY

a. Work performed by Contractor is based on their unique expertise; Company will not restrict Contractor from future similar services.
b. Intellectual property created by Company remains Company property; Contractor has no rights to use or sell without written permission.

6. RETURN OF PROPERTY

Within 15 days of expiration or termination, Contractor will delete or return all Company information, files, and property obtained during engagement.

7. INDEMNIFICATION

a. Contractor indemnifies Company for losses arising from services or breaches.
b. Company indemnifies Contractor for losses arising from Company’s activities or breaches.

8. AMENDMENTS

Amendments must be in writing and signed by both parties.

9. FORCE MAJEURE

Neither party is liable for delays or failures caused by events beyond reasonable control (fire, earthquake, flood, strike, war, terrorism, etc.).

10. GOVERNING LAW

a. Governed by California law.
b. Both parties consent to jurisdiction in Los Angeles County courts.
c. Losing party reimburses reasonable attorneys’ fees if attorneys are employed to enforce rights.

11. ARBITRATION

Disputes will be submitted to binding arbitration under the rules of the American Arbitration Association.

12. ASSIGNMENT AND DELEGATION

a. Neither party may assign rights without prior written consent.
b. Delegation of performance requires prior written consent.

13. SEVERABILITY

Invalid provisions do not affect the validity of remaining provisions unless material changes would make agreement unreasonable.

14. NOTICES

Notices must be sent via email to info@ExpertEffect.com or the email provided by Company. Parties must notify of any email changes.

15. WAIVER

No waiver of any provision is valid unless in writing and signed; waivers do not continue unless specified.

16. SOLICITATION OF CONTRACTOR STAFF

Company will not directly hire Contractor team members without written agreement from CEO/Founder. Hiring fees apply as follows:

  • Part-time or full-time causing resignation from EXPERT EFFECT: HR Expert $50,000 / Specialized HR Expert $70,000

  • Part-time not causing resignation: HR Expert $20,000 / Specialized HR Expert $25,000

17. ENTIRE AGREEMENT

This agreement constitutes the complete and exclusive expression of the parties’ agreement and supersedes all prior communications.
